POSITION OBJECTIVE

The Assistant Director of Agreements is responsible for supporting the evaluation and processing of research and service agreements to and from Case Western Reserve University. The assistant director serves as an integral member of the agreements team to ensure all agreements are in compliance with university and sponsor regulations utilizing the appropriate agreement type. Agreements being reviewed and negotiated may include everything from sponsored research and service agreements to assistance with reviewing proprietary information, human subject data/materials transfer, and other or miscellaneous agreements. Negotiation of these agreements is a highly technical task, both scientific and legal, and requires an understanding of and commitment to upholding university policies governing its position on a variety of negotiable terms, while balancing the needs of the faculty and staff and our legal obligations. The assistant director of agreements will assist the Assistant Vice President, Pre-Award Services and Agreements with the review, negotiation, and maintenance of research enterprise-related agreements.

 

ESSENTIAL FUNCTIONS

  • Manage agreements in accordance with university policies and federal, state, and local laws and regulations. Review all sections of research agreements for sponsored projects administration. Evaluate requests in terms of compliance, circumstances, terms and conditions, appropriate templates, language, legal implications, and more. Identify appropriate risk level, Institutional Review Board (IRB) and/or Institutional Animal Care & Use Committee (IACUC) involvement, and necessary revisions. Prepare and negotiate the terms and conditions of all research-related agreements. Assist in the preparation of various types of agreements. Meet with external stakeholders to negotiate terms and conditions. Propose and facilitate appropriate amendments. (40%)
  • Manage agreement documentation. Track and record all agreements and manaint those spreadsheets. Assist the Associate Director of DUAs and MTAs with the review and negotiation of DUAs and MTAs, as needed. Confirm data security plan compliance with University Technology data security personnel, as needed. Confirm compliance with all regulatory, legal, and institutional requirements. Secure legal approval from the Assistant Vice President of Pre-Award Services & Agreements. Confirm compliance with university and federal export control regulations, technology transfer regulations, and other departmental reviews. Communicate with and educate faculty and staff about the various clauses and requirements of their agreements and how to maintain compliance with specific agreement terms. Collect signatures and explain and distribute executed agreements to all parties.  Assist with gathering all active open research-related agreements and begin collecting data to analyze the success of current templated agreements. Assist with reviewing and keeping templates up to date.  (40%)
  • Independently performs a wide range of tasks in support of the administration of research enterprise related agreements. Responsibilities include: preparing, negotiating, and maintaining appropriate agreements being received or supported by Case Western Reserve University researchers in accordance with university policy, strict governmental guidelines, and other sponsor requirements; providing assistance to researchers who request research agreements with respect to understanding and complying with agreement terms and conditions; communicating the status of negotiations with investigators; monitoring compliance with terms of intellectual property, confidential disclosure, material transfer, data use, reporting, and all other agreement provisions. Reviews previous agreements related to current research so that the scientist’s research and University’s pre-existing obligations are not compromised. Communicates with the Technology Transfer Office and the Office of Research Administration to determine pre-existing obligations. This information will include, but will not be limited to, status and terms of agreements and current contact information. Provides periodic reporting on the status of current and pending agreements to the Supervisor. (10%)
  • Demonstrate over time an increasing knowledge of, and technical background in, business practices, contract law, and university and sponsor policies and procedures. Develop or coordinate the development of university educational tools with respect to agreements. (10%)

    CONTACTS

    Department:  Daily contact with the Assistant Vice President for Pre-Award Services and Agreements, and the Associate Director of DUAs/MTAs. Weekly or monthly contact with the Associate Vice President for Research, DUA/MTA staff, and staff of the Technology Transfer Office. 

    University: Daily contact with CWRU principal investigators, researchers, and staff.

    External:  Regular contact with investigators at our affiliate hospitals, and contracting agents at partner organizations, companies, educational institutions, and other collaborators to negotiate and/or monitor agreements as appropriate.

    Students: Occasional contact with graduate students and postdocs as needed for an agreement review.

     

    SUPERVISORY RESPONSIBILITY

    No staff supervisory responsibility.

     

    QUALIFICATIONS

    Experience: 3 to 5 years administrative experience, preferably in administrative areas such as law, management, or health care.

    Education: Bachelor’s degree required. Prefer LLM or JD.

  • In-depth knowledge of federal, state, city, and other laws & regulations governing research.

  • Solid critical thinking skill with excellent attention to detail.
  • Ability to prioritize workload to meet deadlines.

  • Sophisticated understanding of academic and medical organizational cultures across institutions.

  • Advanced competence utilizing MS Office suite, Google Sheets and other Google programs, and other various computerized databases.

    WORKING CONDITIONS

    General office environment. Hybrid schedule available after initial probationary period.


    This position is eligible for hybrid work arrangement up to two remote days per week at the discretion of the department. New employees may begin a hybrid schedule upon approval from the supervisor, successful completion of an orientation period and signing the remote work checklist certification form.
