About the Basel Institute on Governance
The Basel Institute on Governance is an independent non-profit organisation working across sectors to fight corruption and related financial crimes and to improve the quality of governance. Registered as a Swiss foundation with headquarters in Basel, the Institute works globally and maintains field operations around the world. The Basel Institute is a partner institute of the University of Basel.
The Basel Institute is seeking bids from Ukraine-based Law Firms / Consultants to provide comprehensive legal support in registering a representative office in Ukraine.
Scope of Work
The selected Law Firm / Consultant will be responsible for providing the full legal services required to establish the Basel Institute’s representative office in Ukraine.
The scope of work includes:
- Deliverable 1: Review the organisational documents and structure of the Basel Institute. Develop a detailed list of actions required for the registration of the representative office in compliance with Ukrainian legislation.
- Deliverable 2: Assist in drafting the charter and other necessary documents for the registration of the representative office, ensuring they meet all legal requirements in Ukraine.
- Deliverable 3: Provide ongoing support throughout the registration process, including but not limited to:
- Liaising with the state or public registrar and the Ministry of Justice of Ukraine.
- Obtaining tax-exempt status.
- Facilitating the opening of a local bank account for the representative office.
Qualifications
The Law Firm / Consultant should have:
- Proven extensive experience in registering representative offices for international non-profit organisations in Ukraine.
- Qualifications and licenses of the law firm or consultant.
- Fluency in Ukrainian and working proficiency in English.
- Clarity and competitiveness of the proposed fees.
Submission Requirements:
- An outline of the approach for the registration process.
- CV of the lead consultant or key team members.
- Examples of previous registrations of representative offices or similar entities in Ukraine.
- Positive client references from prior engagements, particularly in the non-profit sector.
- Proposed fee structure.
Deliverables and Timeline
The legal service provider must submit the following deliverables within the given timeline:
- Deliverable 1. Action Plan and Document Review: within 2 weeks of contract commencement.
- Deliverable 2: Charter and Registration Package Drafting: within 6 weeks of contract commencement.
- Deliverable 3. Completion of Registration, Tax Status, and Bank Account Opening: within 8-10 weeks of contract commencement.
