The Associate Attorney’s responsibilities include working closely with other members of RTI’s Office of Corporate Counsel primarily on Corporate Governance matters, including providing advice and confidential support to the RTI Board of Governors. In addition to working closely with RTI’s CLO and other senior members of RTI’s Legal team, responsibilities may include working closely with other members of RTI’s Office of Corporate Counsel on special project-based assignments of a legal or regulatory nature.
Essential Duties:
Support all Corporate Governance activities at RTI, including by assisting CLO and Deputy General Counsel in advising the Board on its roles and responsibilities. Serve as key contact for Corporate Governance matters.
Assist in the preparation for all Board, Board committee, and Corporate Members meetings, including exercising independent judgment and discretion in the development of minutes, agendas, materials, questionnaires, and logistics.
Publish materials in advance of meetings utilizing a secure board portal and ensure information accuracy.
Interact with Board members, Corporate Members, clients, and other persons external to RTI in connection with Board and corporate governance matters.
Maintain Board calendar and oversee complex and confidential meeting requirements.
Assist with the facilitation of the orientation of new Governors and ongoing Governor training and development.
Assist with creating key corporate documents and maintaining records.
Assist with independence and conflicts review process for Governors and Prospective Board member candidates and Board member and Officer Questionnaires.
Assist with the preparation of trainings for senior management and Board members on corporate governance principles and regulatory updates.
Interact with company employees at all organizational levels to provide, gather and disseminate information. Work is typically of a critical or confidential nature.
Leverage existing and emerging technology to streamline and improve efficiency in Board processes.
Analyze problems, determine approach, compile and analyze data and prepare reports and recommendations.
Prepare correspondence, reports, presentations, etc.
Collaborate with other senior professionals to facilitate execution of Board, Board Committee and Corporate Member meetings.
Undertake other special projects requiring legal advice and/or analysis, as requested by senior management on other legal or regulatory matters.
What You’ll Need
Juris Doctorate Degree from an accredited Law School.
Licensed attorney with a minimum of 0-3 years of experience working for a law firm and/or as an in-house legal counsel or legal advisor.
Experience working for a not-for-profit organization, in the public sector, or with a federal contractor is a plus.
Demonstrated ability to work directly with senior leadership, interface with multiple constituencies and manage internal and external resources, in a fast-paced and changing environment.
Excellent written, oral, and interpersonal communication skills.
Knowledge of administrative procedures and systems such as word processing, managing files and records, designing forms, entering information in a variety of formats such as narrative, manuscripts, business correspondence, statistical tables, etc.
Knowledge of the operation of office equipment, personal computers, and communication systems.
Ability to establish and maintain effective working relationships.
Excellent knowledge of MS Word, Outlook, PowerPoint, Excel, and experience with new and advanced tools such as Generative Artificial Intelligence preferred.
Ability to listen and communicate well both verbally and in writing.
Ability to work independently.
Attention to detail and accuracy.
Ability to travel to Board meetings and other events throughout the year and stay in those locations as needed.
