Taylor Hopkinson have been retained to source a Senior Legal Counsel for a global renewable energy IPP.Our client has an extensive and diverse portfolio of energy assets on a global scale; committed to the contribution the enhancement of global standards of living, industry, and economy by fostering an internationally competitive supply of power and energy.Reporting to the Legal Director, the successful candidate will be an integral part of a high-performance team, focusing on new investment (M&A).Key Responsibilities:
You will focus on on M&A and finance matters, as well as internal legal matters such as the establichement of new global affilites and corporate reorganisation, as well as asset management.
You will provide support for sell-side and buy-side M&A processes in all stages, from partnership discussions, exclusivity negotiations, performing due diligence, drafting and negotiating term sheets and definitive transaction documentation, to supporting closing and post-closing integration.
You will also advise and be involved in corporate and project financing arrangements.
You will work closely with the business development, planning and finance teams to ensure and coordinate appropriate support for execution and internal approvals processes and also assist in preparing internal documents and presentations for the management team and/or the board.
Required Experience:
You will be a fully qualified lawyer (bar exam equivalent), with excellent academic credentials.
Proven experience as an M&A lawyer in a reputable law firm and organisation.
A proven understanding of the renewable energy sector, with expertise in the structure of SPVs formed for investment or development purposes.
Substantial experience of managing cross-border transactions and other overseas legal matters.
You are agile and hands-on with strong work ethics and good organisational skills; you can manage a large and diverse workload autonomously and prioritise matters and manage projects effectively.
You are a highly motivated self-starter who is proactive and will initiate matters rather than waiting for instructions.
You have profound diplomatic and social skills; thriving on building relationships with stakeholders.
Be a trusted team player who is credible and reliable, with the cultural awareness to operate confidently in an international environment.
You have good self-awareness and emotional intelligence, with a high level of personal authority and integrity.

You are flexible and willing to travel internationally on an occasional basis.
You are fluent in spoken and written English (additional language skills, particularly Dutch or Japanese) advantageous.
