Dear Sir/Madam,

 

The ZSVP (Zakho organization for Small Villages Projects) as local NGO, is interested in community development to remote the ability of vulnerable groups in rural communities and help them achieve a sustainable life. Since 1996, ZSVP has disseminated environmental information and conducted workshops and training courses to diffuse sustainable agriculture methods and environmentally sound technologies, integrated pest management techniques, nutrition methods water and environmental health care to various groups (farmers, rural women, Extension agents, students and NGOs).

 

ZSVP invite bidder to submit a bid based on the following terms and conditions, non-conformity with all conditions mentioned could lead to exclusion of bid.

 

The bidders are requested to submit their offers using attached form “Bill of Quantity-Annex 3” also requested to fill the “Supplier/Contractor Information Form- Annex 1”, and returned both forms in sealed envelope to the address indicated below.

The supplier/Contractor should submit their registration documents, otherwise the offer will not be considered as responsive offer.

 

Tender deadline:

We request you to submit a bid before 12:00pm on Monday 8th July 2024

It shall remain supplier/Contractor’s responsibility to ensure that the bid will reach the address above on or before the deadline. Bid that are received by ZSVP after the deadline indicated above, for whatever reason, shall not be considered for evaluation.

ZSVP is not responsible for any bid submission cost and related cost.

 

Delivery Time and place:

The supplier/Contractor must state the work according to progress chart of project. The suppler should provide a progress chart that indicate all paragraph of project (According to Bill Of Quantity)

 

The supplier/Contractor should execution work on Abtakh-Alshour Village Water Project according to Bill of Quantities paragraph

Abtakh-Alshour Village – Al-Rabia Sub-district Iraq: Ninawa Governorate.

 

Payment Term:

The supplier/Contractor will be paid upon the Carry out of project, Payment will be done

by bank/cheque according to

Request letter provided by Supplier/contractor and confirmation by engineer’s project (specifying quantities, unit and total price etc..) and according to following paragraphs:

 

  • The 1st payment: after 50% of completion of work, zsvp will pay supplier/contractor 40% of project cost
  • The 2nd payment: after 100% of completion of work, zsvp will pay supplier/contractor 90% of project cost
  • The Final payment: after receipt project officially, zsvp will pay supplier/contractor will receive remaining 10% of project cost

 

Bid currency and validity:

All Price should be quoted in USD, bids showing other currencies may not be considered.

Bids shall remain valid for 30 days after the deadline for submission of bids.

 

Evaluation Criteria:

The order is awarded to the technically compliant and most economic offer.

 

Tender Results:

Annex 2

General Terms and Conditions

  1. ACCEPTANCE OF THE BID

This Bid may only be accepted by the Supplier/Contractor’s signing and returning an acknowledgement copy of it or by timely delivery of the Bid in accordance with the terms of this Bid, as herein specified. Acceptance of this Bid shall affect a contract between the Parties under which the rights and obligations of the Parties shall be governed solely by the terms and conditions of this Bid, including these General Conditions. No additional or inconsistent provisions proposed by the Supplier/Contractor shall bind ZSVP unless agreed to in writing by a duly authorized official of ZSVP.

  1. PAYMENT

2.1 ZSVP shall, on fulfillment to the payment term of this bid,

2.2 Payment against the invoice referred to above will reflect any discount shown under the payment terms of this Bid, provided payment is made within the period required by such payment terms.

2.3 Unless authorized by ZSVP, the Supplier/Contractor shall submit one invoice in respect of this Bid, and such invoice must indicate the Bid’s identification number.

2.4 The prices shown in this Bid may not be increased except by express written agreement of

ZSVP.

  1. TAX EXE MPTION

3.1 Section 7 of the Convention on the Privileges and Immunities of the United Nations provides, inter alia,that the United Nations, including its subsidiary organs, is exempt from all direct taxes, except charges for utilities services, and is exempt from customs duties and charges of a similar nature in respect of articles imported or exported for its official use. In the event any governmental authority refuses to recognize ZSVP’s exemption from such taxes, duties or charges, the Supplier/Contractor shall immediately consult with ZSVP to determine a mutually acceptable procedure.

3.2 Accordingly, the Supplier/Contractor authorizes ZSVP to deduct from the Supplier/Contractor’s invoice any amount representing such taxes, duties or charges, unless the Supplier/Contractor has consulted with ZSVP before the payment thereof and ZSVP has, in each instance, specifically authorized the Supplier/Contractor to pay such taxes, duties or charges under protest. In that event, the Supplier/Contractor shall provide ZSVP with written evidence that payment of such taxes, duties or charges has been made and appropriately authorized.

  1. RISK OF LOSS

Risk of loss, damage to or destruction of the goods shall be governed in accordance the agreement agreed upon by the Parties on the front side of this Bid.

  1. EXPORT LICENCES

 the Supplier/Contractor shall obtain any export licenses required for the goods.

  1. FITNESS OF GOODS/PACKAGING

The Supplier/Contractor warrants that the goods, including packaging, conform to the specifications for the goods ordered under this Bid and are fit for the purposes for which such goods are ordinarily used and for purposes expressly made known to the Supplier/Contractor by ZSVP, and are free from defects in workmanship and materials. The Supplier/Contractor also warrants that the goods are contained or packaged adequately to protect the goods.

 

  1. INSPECTION

7.1 ZSVP Engineer staff shall have a reasonable inspect all project materials supervising all project implementation stage and to reject and refuse acceptance of (Materials/carryout work); payment according to invoice Itis not consider and approval of the correctness of the execution of the materials /carryout work.

7.2 Pre-processing inspection does not exempt the supplier/Contractor from any of its contractual obligations.

  1. RIGHTS OF ZSVP

In case of failure by the Supplier/Contractor to fulfil its obligations under the terms and conditions of this Bid, including but not limited to failure to obtain necessary export licenses, failure by the Supplier/Contractor to preparation of materials and execution work stages or Delay on project completion, ZSVP may, after giving the Supplier/Contractor reasonable notice to perform and without prejudice to any other rights or remedies, exercise one or more of the following rights:

8.1 Procure all or part of the materials from other sources, in which event ZSVP may hold the Supplier/Contractor responsible for any excess cost occasioned thereby.

 

8.2 Refuse to accept delivery of all or part of the materials and working stage.

8.3 Cancel this Bid without any liability for termination charges or any other liability of any kind of charges.

8.4In case of incompletion of all or any Stage of work, zsvp has the right to assign other contractor/supplier to carry out completion of project at the expense of Supplier/Contractors.

 

  1. 9. Delay Carryout work

Without limiting any other rights or obligations of the parties hereunder, if the Supplier/Contractor will be unable to complement the Carry out work on date stipulated in this Bid, ZSVP has right to Right to impose delayed fines which is 200 USD/Day.

  1. 10. ASSIGNMENT AND INSOLVENCY

10.1. The Supplier/Contractor shall not, except after obtaining the written consent of ZSVP, assign, transfer, pledge or make other disposition of this Bid, or any part thereof, or any of the Supplier/Contractor’s rights or obligations under this Bid.

10.2. Should the Supplier/Contractor become insolvent or should control of the Supplier/Contractor change by virtue of insolvency,

ZSVP may, without prejudice to any other rights or remedies, immediately terminate this Bid by giving the Supplier/Contractor written notice of termination.

  1. 11. USE OF ZSVP OR MCC NAME OR EMBLEM

The Supplier/Contractor shall not use the name, emblem or official seal of ZSVP or the MCC for any purpose.

  1. 12. PROHIBITION ON ADVERTISING

The Supplier/Contractor shall not advertise or otherwise make public that it is furnishing materials or services to ZSVP without specific permission of ZSVP in each instance.

  1. 13. CHILD LABOUR

The Supplier/Contractor represents and warrants that neither it nor any of its affiliates is engaged in any practice inconsistent with the rights set forth in the Convention on the Rights of the Child, including Article 32 thereof, which, inter alia, requires that a child shall be protected from performing any work that is likely to be hazardous or to interfere with the child’s education, or to be harmful to the child’s health or physical, mental, spiritual, moral or social development.

Any breach of this representation and warranty shall entitle ZSVP to terminate this Bid immediately upon notice to the Supplier/Contractor, without any liability for termination charges or any other liability of any kind of ZSVP.

  1. 14. PRIVILEGES AND IMMUNITIES

Nothing in or related to these General Terms and Conditions or this Bid shall be deemed a waiver of any of the privileges and immunities of the United Nations, including its subsidiary organs.

  1. 15. OFFICIALS NOT TO BENEFIT:

The Contractor warrants that no official of ZSVP has received or will be Bided by the

Contractor any direct or indirect benefit arising from this Contract or the award thereof. The Contractor agrees that breach of this provision is a breach of an essential term of this Contract.

  1. 16. AUTHORITY TO MODIFY:

Pursuant to the Financial Regulations and Rules of ZSVP, only the ZSVP Authorized Official possess the

authority to agree on behalf of ZSVP to any modification of or change in this Agreement, to a waiver of any of its provisions or to any additional contractual relationship of any kind with the Contractor. Accordingly, no modification or change in this Contract shall be valid and enforceable against ZSVP unless provided by an amendment to this Agreement signed by the Contractor and jointly by the ZSVP Authorized Official.
